What This Form Does

This Business Associate Agreement (BAA) establishes the legally required framework when your startup either provides services to a HIPAA-covered entity that involve access to protected health information (PHI), or when you are a covered entity engaging a vendor that will handle PHI on your behalf. It covers the permitted and required uses and disclosures of PHI, administrative, physical, and technical safeguard obligations, breach detection, investigation, and notification procedures, individual rights support, subcontractor and downstream requirements, and return or destruction of PHI at termination.

The agreement implements the requirements of 45 CFR Part 164 and incorporates the modifications made by the HITECH Act, including direct liability for business associates and enhanced breach-notification obligations.

Why Startups Need This

HIPAA requires a written BAA before any covered entity can share PHI with a business associate. Operating without one is itself a HIPAA violation — for both parties — regardless of whether a breach actually occurs. OCR enforcement actions have resulted in settlements exceeding $1 million for failure to have BAAs in place, even absent any data breach.

If your startup builds health-tech, serves healthcare providers, processes insurance claims, or handles any data that qualifies as PHI, you need a BAA. Many startups do not realize they are business associates until an enterprise healthcare customer requires a BAA as a condition of the deal. Having one ready — drafted to protect your interests, not just the covered entity’s — prevents last-minute scrambles that delay revenue.

2025–2026 Emerging Provisions

AI Processing of PHI. Addresses the use of artificial intelligence and machine learning models that process protected health information, covering training-data restrictions, de-identification requirements for model improvement, algorithmic transparency obligations, and restrictions on secondary use of PHI-derived insights.

Telehealth Platform Obligations. Covers the specific BAA requirements for platforms facilitating telehealth encounters, including real-time communication security, session recording controls, patient-consent integration, and multi-state provider compliance.

Reproductive Health Data Protections. Incorporates the HHS final rule on reproductive health care privacy, restricting uses and disclosures of PHI related to reproductive health care that is lawful under the circumstances, with attestation requirements and prohibited disclosures for investigation or prosecution purposes.

How to Use This Template

Download the .docx file and complete all bracketed fields. The Matter Control Sheet identifies the covered entity, business associate, the specific services involving PHI, the categories of PHI involved, and whether the business associate will create, receive, maintain, or transmit PHI. Define permitted uses and disclosures narrowly — the BAA should authorize only the minimum PHI access necessary for the contracted services.

Pay critical attention to the breach-notification timeline. The HIPAA Breach Notification Rule requires covered entities to notify affected individuals within 60 days, so your BAA should require your business associate to notify you well within that window — typically within 24 to 48 hours of discovery. Have your security and compliance teams review the safeguard requirements to confirm they are operationally achievable before you sign.
