JOINDER AND ADOPTION AGREEMENT

This Stockholder Agreement Joinder and Transfer-Restriction Adoption Agreement (this “Joinder”) is entered into as of [DATE] by [TRANSFEREE LEGAL NAME], a [JURISDICTION AND ENTITY TYPE / INDIVIDUAL] (“Transferee”), for the benefit of [COMPANY LEGAL NAME], a [STATE] corporation (the “Company”), and the parties to the Joined Agreements identified on Schedule 1.

Recitals

A. [TRANSFEROR] (“Transferor”) has agreed to transfer to Transferee the securities identified on Schedule 2 (the “Transferred Securities”), subject to the Company’s approval and the governing documents.

B. The Joined Agreements require or permit a transferee to become a party, assume specified obligations or make specified representations as a condition to registration of transfer.

C. Transferee desires to adopt the applicable terms of the Joined Agreements in the capacity and only to the extent stated in this Joinder.

The parties therefore agree as follows:

1. Joined Agreements and Incorporated Terms

1.1 Joined Agreements

Each agreement listed on Schedule 1, including its amendments and supplements expressly identified there, is a “Joined Agreement.” The Company shall attach or provide a complete execution copy of each Joined Agreement before Transferee signs. A document omitted from Schedule 1 is not incorporated merely because it is referenced in another agreement, except to the extent the Joined Agreement validly incorporates it and counsel confirms the resulting obligation.

1.2 Defined Terms

Capitalized terms not defined in this Joinder have the meanings in the applicable Joined Agreement. If the same term has different meanings, it applies separately within each Joined Agreement. “Applicable Capacity” means the stockholder category shown for that Joined Agreement on Schedule 1.

1.3 Priority and Conflict

This Joinder supplements and does not amend a Joined Agreement. If this Joinder conflicts with a Joined Agreement, the Joined Agreement controls, except that an express matter-specific limitation signed by the Company and every person whose rights are adversely affected may control to the extent the Joined Agreement permits. The Company’s certificate of incorporation and mandatory law control over inconsistent contractual terms.

2. Adoption and Assumption

2.1 Becoming a Party

Effective only upon the Closing and registration of the Transferred Securities in Transferee’s name, Transferee becomes a party to each Joined Agreement in the Applicable Capacity and agrees to be bound as though an original signatory in that capacity.

2.2 Obligations Assumed

Transferee assumes the obligations applicable to the Transferred Securities or Applicable Capacity, including as identified in the Joined Agreements: transfer restrictions; rights of first refusal and first offer; co-sale and drag-along obligations; voting commitments; market standoff or lock-up provisions; confidentiality; legends and notices; notice obligations; further assurances; dispute resolution; and successor or permitted-transferee obligations.

2.3 No Assumption of Transferor’s Personal Liabilities

Except as expressly listed on Schedule 3, Transferee does not assume Transferor’s accrued payment obligations, indemnity for Transferor’s pre-Closing breach, employment or service duties, tax liabilities, personal representations, confidentiality breaches, or other liabilities not running with the Transferred Securities.

2.4 No Release of Transferor

This Joinder does not release Transferor from any liability or obligation unless the Company and each required counterparty expressly release it in a separate signed writing. Any obligation that by its terms continues after transfer remains enforceable.

3. Rights Associated with the Transferred Securities

3.1 Rights That Run with the Securities

Subject to the Joined Agreements, thresholds and Schedule 3, Transferee may exercise rights that expressly transfer with the Transferred Securities, but only after the Company recognizes Transferee as a party and record holder. Rights are calculated using Transferee’s eligible holdings, aggregation rules and Affiliate holdings only as the applicable agreement provides.

3.2 Personal and Status-Based Rights Excluded

No founder, service, employment, board designation, observer, veto, major-investor, lead-investor, information, inspection, registration-demand, preemptive, expense-reimbursement, management-rights or similar right transfers if it is personal, nonassignable, conditioned on a threshold Transferee does not meet, or requires a separate approval not obtained. Schedule 3 must affirmatively identify any such right that does transfer and the authority for transfer.

3.3 Partial Transfers and Allocation

If Transferor retains securities, any divisible rights shall be allocated as the Joined Agreement requires. Indivisible or threshold-based rights remain with, terminate for, or transfer from Transferor only as expressly stated on Schedule 3 and approved by each required party. No duplicate right is created.

3.4 Future Changes in Holdings

If Transferee later ceases to meet a threshold or disposes of securities, any dependent right terminates or adjusts automatically under the Joined Agreement. The Company may update its records without further consent, after reasonable notice where required.

4. Transfer Restrictions and Enforcement

4.1 Notice of Restrictions

Transferee acknowledges actual receipt of the Joined Agreements and actual knowledge of the restrictions summarized on Schedule 4. The summary is for administration only; the executed Joined Agreements control. Transferee consents to legends, uncertificated-share notices and stop-transfer instructions reasonably designed to enforce valid restrictions.

4.2 Future Transfers

Transferee shall not transfer any interest in the Transferred Securities, including an economic participation, pledge, derivative, proxy coupled with an interest or indirect transfer of a holding vehicle, except in compliance with Applicable Law and all Joined Agreements. A permitted transferee must execute required joinders before registration.

4.3 Equitable Relief

An unauthorized transfer or breach of voting, confidentiality, lock-up, ROFR, co-sale or drag-along obligations may cause irreparable harm. The Company and affected parties may seek specific performance, injunction and other equitable relief, subject to the applicable agreement and law.

4.4 Void or Non-Registrable Transfers

Any transfer made in violation of an enforceable restriction is [VOID / NOT RECOGNIZED OR REGISTERED BY THE COMPANY TO THE EXTENT PERMITTED BY LAW]. Counsel must conform this provision to the exact Joined Agreements and governing law; the bracketed choice must not be left unresolved.

5. Voting and Governance Commitments

5.1 Voting Agreement

To the extent Schedule 1 includes a voting agreement, Transferee agrees to vote, consent or refrain from voting the Transferred Securities as required, including for director elections, drag-along transactions, protective arrangements or amendments. Transferee appoints any proxy only to the extent, for the term and under the conditions stated in that agreement.

5.2 No Director or Fiduciary Status

Ownership of the Transferred Securities and execution of this Joinder do not appoint Transferee or its representative as a director, officer, observer, agent, partner or fiduciary of the Company or another stockholder.

5.3 Information Boundaries

If Transferee receives Company information under a Joined Agreement, it shall use it only for the permitted purpose, protect it with at least reasonable care, comply with privilege and competitive-information safeguards, and return or destroy it when required. The Company may withhold information to preserve privilege, comply with law, avoid a conflict, protect highly sensitive information from a competitor, or enforce a valid information protocol, subject to the agreement.

6. Transferee Representations

Transferee represents as of signing and effectiveness that:

7. Company Acknowledgment

The Company acknowledges this Joinder solely to confirm that, upon satisfaction of the closing conditions and registration of transfer, it will record Transferee as a party in the Applicable Capacity. The Company does not represent that every provision is enforceable in all circumstances, that Transferee receives any particular right, or that the transfer is advisable. Recognition is subject to correction of clerical error and to the controlling Joined Agreements.

8. Notices

For each Joined Agreement, Transferee’s notice details are those on Schedule 2 unless that agreement requires a different method. Transferee consents to email notice only to the extent permitted by the Joined Agreement and law. A change is effective after receipt by the Company and any agreement administrator.

9. Miscellaneous

9.1 Governing Law and Forum

Each Joined Agreement’s governing-law and forum provisions apply to this Joinder as to that agreement. If no such provision applies, this Joinder is governed by [STATE] law, except internal-affairs matters are governed by the Company’s state of incorporation.

9.2 Entire Agreement; Amendments

This Joinder, the Joined Agreements and the approved transfer documents contain the entire agreement concerning Transferee’s adherence. An amendment must satisfy each Joined Agreement’s amendment standard and be signed by any party whose rights are uniquely affected.

9.3 Counterparts; Electronic Signatures

This Joinder may be signed in counterparts and electronically. Signature pages may be attached to counterparts, provided the final closing set clearly identifies the version signed.

9.4 Successors; No Assignment Apart from Securities

This Joinder binds Transferee and its permitted successors. Transferee may not assign this Joinder separately from a permitted transfer of the securities and compliance with the applicable joinder process.

9.5 Severability; No Waiver

An invalid provision shall be narrowed or severed while preserving the parties’ intent. Failure to enforce a provision is not a waiver. No waiver is continuing unless expressly stated.

What this form is for

This joinder is used when a private-company stock transferee must become bound by existing stockholder arrangements. It is designed to prevent the two common extremes: failing to bind a transferee to restrictions and accidentally granting personal or threshold-based rights that should not transfer.

AI completion prompt

Completion checklist

Three-pass quality review

Pass 1 — Source mapping. Trace every assumed duty and claimed right to a signed provision. Pass 2 — Cross-document coherence. Resolve conflicting categories, thresholds, amendment standards, governing law and transfer procedures. Pass 3 — Execution mechanics. Verify securities, beneficial owners, signatures, consents, legends, notices, ledger entry and closing-set retention.

Attorney-review warning

A generic joinder can accidentally expand investor rights or fail to bind a transferee. Qualified counsel must conform this form to the actual agreements, governing law and transaction.
