Overview
Every equity grant a startup makes — whether stock options, restricted stock, or RSUs — requires board approval. Yet many startups treat this as a checkbox exercise, approving grants without proper 409A valuation documentation, Rule 701 compliance analysis, or standardized form agreements. The result is a corporate record that creates problems during financing due diligence, acquisition closings, or tax audits. A single grant with an exercise price below fair market value can trigger Section 409A penalties for the recipient and create a compliance headache that follows the company for years.
