What This Spreadsheet Does
A capitalization table is the single most important financial record a startup maintains. It tracks every equity holder, every share issued, every option granted, and every convertible instrument outstanding. This template gives founders a production-ready spreadsheet with six interconnected tabs that automatically calculate ownership percentages, fully diluted share counts, and authorization compliance. Rather than building a cap table from scratch in a blank spreadsheet — where formula errors can misstate ownership by millions of dollars — this template provides the structure, formulas, and professional formatting that investors and legal counsel expect to see during due diligence.
The template covers the full spectrum of startup equity: common stock for founders and employees, multiple series of preferred stock with detailed liquidation preferences, stock options and warrants under an equity incentive plan, and both SAFEs and convertible notes with as-converted share estimates. Each tab feeds into a master Summary that gives you a single-page view of your entire capitalization structure.
Why Every Startup Needs a Proper Cap Table
Investors will request your cap table before writing a term sheet, and the quality of that document signals how well you run your company. A disorganized cap table — or worse, one with formula errors — can delay or kill a financing round. VCs routinely discover that founders have miscounted their authorized shares, overlooked outstanding warrants, or failed to account for the dilutive effect of their option pool. Each of these errors creates legal complications that must be resolved before new money can close.
Beyond fundraising, your cap table drives critical decisions about hiring (how much equity can you grant?), exit planning (who gets paid what in a liquidation waterfall?), and tax compliance (are your option exercise prices defensible under Section 409A?). Founders who treat their cap table as a living document — updated after every equity event and reconciled against their charter — avoid the painful and expensive cleanups that plague companies approaching Series A and beyond.

Summary Tab
The master view. Auto-populates from all detail tabs to show shares outstanding, ownership percentages, fully diluted counts, and total investment by security type. Includes an authorization check that flags when issued shares approach authorized limits, a valuation snapshot section for pre-money and post-money calculations, and a Section 1202 QSBS eligibility tracker with the $50M gross assets test.
Common Stock Tab
Tracks every common stockholder with columns for shares authorized, shares issued, shares vested, cost basis, and certificate numbers. Separated into Founders and Other Common Stock sections with subtotals. Includes notes on standard four-year vesting schedules and 83(b) election filing requirements.
Preferred Stock Tab
Organized by series (Seed, Series A, Series B) with investor-level detail including price per share, liquidation preference type, conversion ratio, anti-dilution protection mechanism, and board seat rights. Formulas calculate total investment and as-converted common shares. Reference notes explain non-participating, participating, and participating-capped liquidation preference structures.
Options & Warrants Tab
Begins with an equity incentive plan overview showing total pool size, grants outstanding, and shares available. The options detail table tracks each grant with ISO/NSO designation, exercise price, vesting schedule, and expiration. A separate warrants section covers any warrant instruments. Includes the current 409A fair market value and notes on the ISO $100K annual limit, early exercise provisions, and 83(b) elections for optionees.
SAFE & Convertibles Tab
Separate sections for SAFE agreements and convertible notes. SAFEs are tracked with investment amount, valuation cap, discount rate, pro rata rights, and MFN provisions, with formulas estimating as-converted share counts. Convertible notes include principal, interest rate, maturity date, and conversion terms. Reference notes explain post-money SAFEs, pre-money SAFEs, discount-only SAFEs, MFN SAFEs, and the emerging OISP/DSP framework for compliant digital issuance.
Instructions Tab
Step-by-step guidance for populating the template, input conventions (color coding for inputs vs. formulas vs. cross-sheet references), how to add rows without breaking formulas, 409A valuation requirements, QSBS tracking best practices, and general maintenance recommendations.
Emerging Provisions (2025–2026)
Section 1202 QSBS Tracking
The template includes a dedicated QSBS eligibility tracker on the Summary tab. It monitors aggregate gross assets against the $50M threshold, C corporation status confirmation, and active business requirement compliance. With potential capital gains exclusion of up to 100% on qualifying stock held for five years, maintaining real-time QSBS eligibility tracking has become a governance priority for startups and their investors.
OISP / DSP Framework
The SAFE & Convertibles tab references the emerging Online Investment & Securities Platform and Direct Securities Purchase frameworks, which provide regulatory pathways for compliant digital issuance of securities. As more startups explore tokenized equity and digital cap table management, tracking the issuance platform alongside traditional fields is becoming standard practice.
409A Valuation & AI-Assisted Methods
The Options & Warrants tab is designed to work with current 409A valuation requirements, including the safe harbor provisions under IRS regulations. As valuation firms increasingly use AI-assisted methodologies, the template accommodates disclosure of the valuation approach and date, ensuring that option exercise prices remain defensible against IRS scrutiny.
How to Use This Template
Step 1: Download the spreadsheet and open it in Microsoft Excel or Google Sheets. The template uses standard formulas compatible with both platforms.
Step 2: Start on the Summary tab. Fill in your company name, state of incorporation, date, and authorized share counts in the yellow-highlighted cells.
Step 3: Complete each detail tab in order — Common Stock, Preferred Stock, Options & Warrants, then SAFE & Convertibles. Blue text indicates input cells; black text cells contain formulas that calculate automatically.
Step 4: To add more rows for additional stockholders or investors, insert rows above the subtotal line and copy formulas from an existing data row. Verify that SUM ranges include any new rows.
Step 5: Use the Summary tab’s authorization check to confirm that issued shares do not exceed authorized shares. Update the QSBS tracker if applicable to your company.
Step 6: Have your legal counsel review the completed cap table before using it in any financing, due diligence, or regulatory filing context.
