What This Form Does

This agreement governs the relationship between your startup and content creators who promote your brand, products, or services. It covers the full scope of an influencer engagement: content deliverables and approval workflows, posting schedules and platform requirements, FTC material-connection disclosures, intellectual property and content licensing, exclusivity and competitor restrictions, compensation structures including flat fees, performance bonuses, and affiliate commissions, and morality and brand-safety provisions.

The template works for both short-term campaign engagements and long-term brand ambassador relationships, with modular provisions that scale from a single sponsored post to an ongoing multi-platform partnership.

Why Startups Need This

The FTC has dramatically increased enforcement of influencer marketing rules, with penalties reaching into six figures for failure to disclose material connections. A handshake deal or informal DM arrangement leaves your startup exposed — both to FTC enforcement and to disputes over content ownership, usage rights, and payment. If an influencer posts misleading claims about your product, you share liability for those claims.

Deepfake and Likeness Restrictions. Prohibits unauthorized AI-generated representations of the influencer’s likeness and establishes consent protocols for any synthetic media use, protecting both parties from reputational and legal risk.

Platform Algorithm-Change Risk. Allocates the risk when platform algorithm changes materially reduce content reach or engagement, establishing performance floors, adjustment mechanisms, and termination rights tied to measurable distribution shifts.
