Debt Subordination, Standstill, and Turnover Agreement

A senior-lender, borrower, and insider or junior-creditor agreement subordinating payment and lien rights, controlling permitted payments, enforcement standstill, turnover, bankruptcy conduct, amendments, and release without pretending to replace a full split-collateral intercreditor agreement.

Drafting standard applied

Not execution-ready. Complete facts and economics, select and delete alternatives, reconcile related documents, update law, and obtain responsible-lawyer approval.
Lean instrument; separate analysis. Version 3.1.0 applies the Montague Law Ground Truth by keeping the operative instrument concise and placing teaching and review material behind clearly labeled analysis controls.

Module control. Use for insider, seller, founder, shareholder, or other junior debt where senior priority and payment blockage are needed. Do not use for complex first-lien/second-lien or split-collateral facilities without a full intercreditor agreement. Select lien subordination, payment subordination, permitted payments, blockage triggers, standstill duration, bankruptcy voting and plan treatment, amendments, purchase option, and release.

Operative form with optional analysis

Opening: This Debt Subordination, Standstill, and Turnover Agreement (this “Agreement”) is entered into as of [DATE] by [SENIOR LENDER LEGAL NAME] (“Senior Lender”), [JUNIOR CREDITOR LEGAL NAME] (“Junior Creditor”), and [BORROWER LEGAL NAME] (“Borrower”).

1Purpose and Priority

Junior Creditor agrees that Senior Debt has the payment and lien priority stated in this Agreement over Junior Debt. Priority applies only to defined obligations and collateral and does not create rights in property where Senior Lender lacks a valid interest. Borrower acknowledges the arrangement. The agreement controls conflicts with Junior Debt documents; a separate intercreditor agreement controls if expressly identified.

Drafting analysis
Instruction
State whether subordination is payment, lien, or both.
Risk controlled
Using one label for different priority concepts creates gaps.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

2Senior Debt

“Senior Debt” means the existing and future principal, interest, fees, protective advances, indemnities, enforcement costs, post-petition amounts, renewals, and refinancings expressly identified in Schedule 1, subject to its caps and amendment limits. Senior Debt excludes unrelated affiliate obligations and material increases beyond stated consent thresholds. A refinancing lender succeeds to Senior Lender’s rights only by satisfying the joinder requirements in Schedule 1.

Drafting analysis
Instruction
Use a cap and amendment envelope for insider subordination.
Risk controlled
Unlimited senior debt can erase the junior bargain.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

3Junior Debt

“Junior Debt” means the subordinated note, accrued interest, fees, claims, renewals, replacements, and related rights identified in Schedule 1. Junior Creditor shall not split, assign, purchase, or recharacterize Junior Debt to evade this Agreement. Equity interests and ordinary trade obligations are excluded unless Schedule 1 expressly includes them. Amendments require the consent stated in Section 12.

Drafting analysis
Instruction
Attach or identify every junior instrument.
Risk controlled
Unlisted side letters can sit outside the priority arrangement.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

4Payment Subordination

Until Senior Discharge, Junior Debt is subordinated in right of payment as stated. Borrower shall not pay and Junior Creditor shall not receive payments except Permitted Payments. Any prohibited payment is held in trust or as bailee to the extent legally effective and promptly turned over. Senior Lender credits turnover amounts against Senior Debt and avoids double recovery.

Drafting analysis
Instruction
Define Senior Discharge and contingent obligations.
Risk controlled
An absolute payment ban may create tax, accounting, or governance problems.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

5Permitted Payments

Borrower may make, and Junior Creditor may receive, only the payments listed in Schedule 2, subject to the stated dollar caps, no-default conditions, liquidity tests, and notice or certification requirements. A payment permitted when made is not retroactively prohibited solely because of a later default, except in the case of fraud or avoidance. Missed payments accrue only as permitted by the Junior Debt documents and law.

Drafting analysis
Instruction
Use objective tests that payroll or finance can operate.
Risk controlled
Vague permitted-payment language produces accidental blockage breaches.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

6Blockage Notices

[BLOCKAGE MODULE—DELETE IF NOT SELECTED.] Senior Lender may deliver a notice identifying the default and blockage start. Blockage lasts no longer than [NUMBER] days, may occur no more than [NUMBER] times in any [PERIOD], and ends upon cure, written waiver, expiry, Senior Discharge, or [OTHER EVENT]. A later notice may not create a permanent blockage contrary to the reset rule in Schedule 3. [PAYMENT DEFAULTS BLOCK AUTOMATICALLY / REQUIRE NOTICE].

Drafting analysis
Instruction
Calendar all blockage periods and notice recipients.
Risk controlled
Evergreen blockage can function as an unintended debt cancellation.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

7Lien Subordination

Any Junior Lien is junior to Senior Liens in identified Collateral regardless of attachment or filing order to the extent enforceable. Junior Creditor shall execute amendments and releases needed to evidence priority but need not release its underlying claim. Senior Lender shall not expand priority to assets outside the Senior Collateral without agreed consent.

Drafting analysis
Instruction
Map collateral and filing jurisdictions.
Risk controlled
Priority language cannot create a senior lien where none exists.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

8Standstill

During the Standstill Period, Junior Creditor shall not accelerate, sue, foreclose, repossess, set off, exercise control, commence insolvency proceedings, or direct collateral remedies, subject to claim-preservation filings, statutory deadlines, and defensive actions. Standstill ends after the negotiated period or specified senior inaction; payment subordination may continue afterward.

Drafting analysis
Instruction
Distinguish enforcement standstill from payment blockage.
Risk controlled
A standstill that bars claim preservation may destroy junior rights.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

9Senior Enforcement and Disposition

Senior Lender controls remedies against shared collateral while the standstill applies and may release or dispose of collateral in a commercially reasonable, lawful process. Junior liens attach to proceeds in agreed priority unless released under a sale free and clear or other authorized disposition. Senior Lender provides notices required by law and the negotiated information rights.

Drafting analysis
Instruction
Add purchase option if junior creditor needs an alternative to delay.
Risk controlled
Control without commercial-reasonableness safeguards invites litigation.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

10Turnover

Junior Creditor shall segregate and promptly deliver prohibited payments, collateral proceeds, and enforcement recoveries received before Senior Discharge, together with relevant tracing information. Turnover excludes amounts expressly permitted and property Senior Lender has released. Senior Lender applies and accounts for amounts under the senior documents and applicable law.

Drafting analysis
Instruction
Specify account and notice mechanics.
Risk controlled
Turnover without accounting can create double-payment disputes.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

11Amendments to Senior Documents

Senior Lender may amend Senior Debt within the agreed envelope without Junior Creditor consent. Increases above the cap, new borrowers, materially higher rates, extended final maturity beyond [DATE/PERIOD], new collateral classes, or fundamentally different obligations require consent or do not receive priority beyond the envelope. Ordinary waivers and extensions remain permitted.

Drafting analysis
Instruction
Negotiate objective guardrails rather than a vague materiality test.
Risk controlled
Unbounded amendment consent lets the senior lender rewrite the deal.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

12Amendments to Junior Documents

Borrower and Junior Creditor shall not increase principal, accelerate maturity, raise rates, add fees, obtain collateral, tighten defaults, require prepayment, or otherwise improve Junior Debt without Senior Lender consent, except listed administrative changes. Permitted amendments must remain subject to this Agreement and cannot evade payment or lien subordination.

Drafting analysis
Instruction
Allow tax and clerical corrections where appropriate.
Risk controlled
Side-letter economics can undermine the priority arrangement.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

13Information and Notices

Each creditor receives default, payment, amendment, enforcement, and payoff notices specified in the schedule. Senior Lender need not share privileged, customer-restricted, or competitively sensitive information but should provide enough to operate blockage and standstill rights. Junior Creditor shall notify Senior Lender of any demand, payment, transfer, or enforcement step involving Junior Debt.

Drafting analysis
Instruction
Use reliable notice addresses and escalation contacts.
Risk controlled
Priority rights fail operationally when notices go to stale addresses.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

14Bankruptcy

In any insolvency or bankruptcy proceeding, this Agreement governs claim filing, post-petition interest, adequate protection, debtor-in-possession financing, use of cash collateral, plan treatment, voting, distributions, sale proceeds, and turnover only to the extent enforceable and stated here: [COMPLETED ELECTIONS]. Junior Creditor shall take steps reasonably requested to implement the agreed priority but need not assign its claim or vote contrary to this Agreement. Any agency or power of attorney is limited to the stated trigger, purpose, and duration and ends upon Senior Discharge.

Drafting analysis
Instruction
Use bankruptcy counsel; avoid overconfident prepetition voting assignments.
Risk controlled
Aggressive bankruptcy clauses may be unenforceable or counterproductive.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

15No Challenge and Claim Preservation

Junior Creditor shall not challenge Senior Debt or Senior Liens except for fraud, bad faith, actual payment, written release, or specifically reserved defects. Senior Lender does not challenge valid Junior Debt solely because it is subordinated. Each party may file proofs, tolling agreements, and defensive pleadings needed to preserve claims without violating the standstill.

Drafting analysis
Instruction
Preserve bona fide disputes and limitation periods.
Risk controlled
A blanket no-challenge clause can validate fabricated or released debt.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

16Assignments and Joinders

Junior Creditor may assign only to a transferee that executes a joinder before transfer and receives the Junior Debt subject to this Agreement. Senior Debt may transfer with the facility within the amendment envelope; a refinancing lender joins or meets stated succession conditions. Borrower records ownership and withholds payments absent verified instructions.

Drafting analysis
Instruction
Prevent participations or affiliates from bypassing restrictions.
Risk controlled
An unbound transferee can disrupt priority and notices.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

17Senior Discharge and Release

“Senior Discharge” means indefeasible payment in full of Senior Debt, termination of commitments, and the treatment of contingent obligations and avoidance reserves stated in Schedule 1. Upon Senior Discharge, payment blockage, standstill, turnover, and lien subordination terminate except for accrued accounting and reinstatement duties. Within [NUMBER] business days, Senior Lender shall deliver a release certificate and the UCC, possession, or control releases reasonably required by the completed schedules.

Drafting analysis
Instruction
Coordinate with refinancing and cash collateral arrangements.
Risk controlled
A vague discharge definition can extend subordination indefinitely.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.

18General Terms

Notices must be delivered by [METHODS] to the completed addresses and are effective on [OBJECTIVE RECEIPT RULE]. Each creditor may assign this Agreement only with the debt it holds and only if the assignee assumes this Agreement; Borrower may not assign it. No party is a fiduciary of another solely by reason of this Agreement. An amendment affecting priority, payment blockage, standstill, turnover, debt caps, or release requires the written consent of each affected creditor; Borrower may not amend creditor rights unilaterally. This Agreement is governed by [STATE], and exclusive proceedings must be brought in [FORUM], subject to mandatory bankruptcy and commercial law. A waiver must be written and applies only to the stated instance. Invalid terms are narrowed only to the minimum enforceable scope without changing the agreed priority. Electronic signatures and counterparts are effective. This Agreement and its schedules are the entire intercreditor agreement; if a loan document conflicts on priority, blockage, standstill, turnover, or release, this Agreement controls among the parties. Each party shall execute further documents reasonably necessary to implement the agreed priority. Reinstatement, turnover, accounting, dispute, and other terms intended by their nature to continue survive until final Senior Discharge.

Drafting analysis
Instruction
Confirm borrower signature and authority.
Risk controlled
A two-party agreement may not bind the borrower to payment restrictions.
Three-pass review
Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
