Overview

Admitting a new member to an LLC is not as simple as signing a joinder and updating the cap table. It is a controlled closing that requires classification of the transaction type, verification of authority under the operating agreement and applicable statute, proper joinder to the correct version of the operating agreement, documentation of the economic and governance terms, tax allocation analysis, securities compliance, and a formal closing with conditions precedent. A one-page joinder that skips these steps can conceal missing approvals, incorrect economics, unresolved tax consequences, and securities violations.

This template provides the complete closing package needed to admit a new member properly, distinguishing among company issuances, member transfers, profits interest grants, conversions, and other admission paths. It is designed to work with any LLC operating agreement structure and addresses both Delaware and Florida LLC law.

What This Template Covers

Transaction Classification. The first and most important step: identifying whether the admission involves a company issuance of new interests, a transfer of existing interests from a current member, a profits interest grant, a conversion from another security, or another path. Each classification has different authority requirements, tax consequences, securities implications, and documentation needs — and treating them interchangeably is one of the most common errors in LLC practice.

Authority Verification. Maps the specific admission to the operating agreement’s approval requirements, statutory authority, member or manager consent thresholds, class-specific approvals, ROFR or waiver requirements, and any lender or investor consent obligations. Documents the record date and produces a certificate that the required approvals have been obtained before the admission proceeds.

Joinder Agreement. Binds the new member to the exact operating agreement (including all amendments), in the correct capacity, while preserving accrued liabilities and any continuing obligations of a transferor. Critically, it establishes precedence between the joinder and the operating agreement and avoids the blanket waiver of unknown claims that some short-form joinders inadvertently create.

Documents the specific interest being acquired — class, units, economic percentage, voting percentage — along with the consideration, payment mechanics, valuation, vesting or repurchase terms, representations, conditions, and the precise moment when admission becomes effective. Includes separate modules for company issuances (with authorized units, capital account treatment, dilution disclosure, and securities exemption) and member transfers (with transferor representations, ROFR compliance, retained interests, and distribution/tax item allocation).

Tax Schedule. Addresses the partnership tax consequences that make LLC admissions more complex than corporate stock issuances: pre- and post-closing allocations, interim closing of books versus proration, book-up elections, Section 704(c) considerations, liability sharing under Section 752, withholding obligations, tax distributions, partnership representative communications, and K-1 responsibility. States the intended tax treatment without guaranteeing results.
