What This Document Does

A manufacturing supply agreement governs the relationship between a buyer who needs goods produced and a supplier who manufactures them. This template is drafted from the buyer’s perspective, establishing detailed requirements for product specifications, quality systems, delivery schedules, pricing mechanics, and change control. It addresses the operational realities that simpler purchase order terms cannot handle: what happens when the supplier wants to change a material or process, how shortages are allocated, who pays for recalls, who owns the tooling, and how to transition to a new supplier if the relationship ends.

The agreement uses a master-terms-plus-exhibits structure. The master terms set the legal framework while eight exhibits define the operational details: goods and specifications, forecasting and pricing, quality requirements, continuity planning, compliance and recalls, insurance, IP and tooling, and a liability allocation matrix. This separation allows operations and procurement teams to negotiate commercial terms without reopening the legal architecture.

Why Startups Need This

Hardware startups, consumer product companies, food and beverage brands, and any business that outsources manufacturing to a contract manufacturer or component supplier needs a manufacturing supply agreement. Standard purchase order terms do not adequately address quality systems, change control, continuity planning, tooling ownership, or recall allocation — the issues that cause the most expensive disputes in manufacturing relationships.

Startups are particularly vulnerable because they often have single-source suppliers, limited leverage to negotiate mid-stream, and products where a quality failure can be existential. A supplier that changes a material without approval, fails to maintain safety stock, or cannot provide transition support can shut down a startup’s business entirely. This template forces the parties to address these scenarios before they occur.

Key Provisions Explained

Quality System and Change Control

No change to design, material, process, tooling, manufacturing site, software, or critical sub-supplier is permitted without the buyer’s prior written approval. The supplier must maintain quality systems defined in Exhibit C, including sampling plans, process validation, traceability, lot control, retention samples, corrective action procedures, and buyer audit rights. The supplier must immediately notify the buyer of actual or suspected nonconformity and contain affected lots. This provision prevents the most common source of manufacturing disputes — a supplier that makes a “minor” change without approval that turns out to affect product performance or safety.

Continuity and Second-Source Planning

The supplier must maintain capacity, safety stock, backup facilities, disaster recovery plans, cybersecurity controls, and labor continuity measures. It must promptly disclose shortages or financial and operational threats, allocate supply lawfully according to agreed priority, and support the buyer’s qualification of a second source. This is critical for startups — if your sole-source supplier has a factory fire, a cyberattack, or a labor dispute, your business stops. The continuity provisions force advance planning rather than crisis management.

IP and Tooling Ownership

The buyer owns its designs, data, and any tooling it paid for. The supplier owns its pre-existing background IP. Exhibit G defines the license the buyer needs from the supplier’s background IP for use, sale, repair, and continuity — including the right to grant that license to alternate manufacturers if the relationship ends. Buyer property held at the supplier’s facility must be marked, maintained, insured, kept free of liens, inventoried, and returned on demand. Without clear tooling ownership, a buyer can find itself unable to move production to a new supplier because the original supplier claims ownership of the molds, dies, or fixtures.

Recall and Compliance Allocation

The supplier must maintain permits and comply with applicable product, environmental, labor, customs, sanctions, and anti-corruption laws. It must maintain complaint and lot traceability, cooperate with investigations, and follow coordination procedures before contacting regulators or customers about shared issues. Recall authority, communications, and cost allocation are defined in Exhibit E — with costs allocated by cause. The buyer controls recall decisions because it controls the customer relationship, but the supplier bears the costs when the recall results from a manufacturing defect or supplier noncompliance.

Liability Matrix

Rather than a simple consequential-damages exclusion, this template uses a liability matrix (Exhibit H) that treats different categories of loss differently. Direct cover costs, recall expenses, sorting and rework, line-down costs, expedited freight, customer chargebacks, field service, bodily injury, and IP claims each receive specific treatment — some excluded, some capped, some uncapped. This approach is more commercially realistic than a blanket exclusion because in manufacturing relationships, a supplier’s failure to deliver can cause immediate, measurable, and very large direct losses to the buyer’s business.

Emerging Provisions (2025–2026)

Cybersecurity and Supply Chain Resilience

Manufacturing supply chains are increasingly targeted by ransomware and cyber attacks. A supplier’s IT system compromise can halt production, expose product designs, and compromise quality records. This template includes cybersecurity as a continuity obligation, requiring the supplier to maintain security controls appropriate to the sensitivity of the buyer’s data and product specifications. Exhibit D addresses cyber incident notification, recovery objectives, and the buyer’s right to audit the supplier’s security posture.

ESG and Supply Chain Due Diligence

Buyers face increasing regulatory and customer requirements regarding environmental practices, labor conditions, and supply chain transparency. The template includes compliance obligations covering environmental regulations, labor standards, restricted substances, conflict minerals, and supply-chain traceability. These are not aspirational — they are becoming conditions of doing business with enterprise customers and in regulated markets. Exhibit E requires the supplier to maintain records and provide certifications supporting the buyer’s compliance obligations.

How to Use This Template

1. Define specifications precisely. Exhibit A must include detailed product specifications, approved materials, manufacturing processes, testing requirements, and acceptance criteria. Ambiguous specifications are the root cause of most quality disputes.

2. Build the economic model. Exhibits A and B must define pricing, forecast horizons, binding windows, minimum order quantities, lead times, payment terms, and price-change mechanics. Test the model for demand surges, forecast misses, raw-material price spikes, and partial shipments.

3. Inventory all buyer-owned tooling. Exhibit G should list every tool, fixture, mold, die, and design file that the buyer owns or has paid for. Include location, condition, maintenance responsibility, and insurance coverage.

4. Run a recall tabletop exercise. Before signing, walk through what happens when a defective lot reaches customers. Who is notified first? Who controls communications? Who pays for replacement product? How fast can affected lots be identified through the traceability system?

5. Verify the transition plan. Exhibit H should define what happens on termination: open-order treatment, buyback or sell-off of inventory, continued supply during transition, tooling return, records transfer, and the timeline for each.
