What This Form Does

This policy establishes a systematic framework for how long your startup keeps different categories of records and how those records are destroyed when the retention period expires. It covers corporate and governance records, financial and tax documents, employment records, customer and vendor contracts, intellectual property files, regulatory and compliance documentation, electronic communications, and system logs.

Critically, the policy includes a legal-hold procedure that overrides normal destruction schedules when litigation, investigation, or regulatory action is reasonably anticipated. It defines roles and responsibilities, establishes a records-retention committee, and creates an auditable process that can withstand scrutiny in discovery disputes.

Why Startups Need This

Startups face records-retention risk from both directions. Keeping records too long increases storage costs, privacy exposure, and the volume of documents subject to discovery in litigation. Destroying records too soon — or without a defensible policy — can result in spoliation sanctions, adverse-inference instructions, and regulatory penalties that can be company-ending.

Courts distinguish between routine, good-faith destruction under an established policy and ad hoc deletion that looks like evidence tampering. A documented retention policy with consistent enforcement is your primary defense against spoliation claims. Enterprise customers and SOC 2 auditors also increasingly require evidence of a formal records-management program.

2025–2026 Emerging Provisions

AI Training-Data Retention. Addresses the unique retention questions around datasets used to train or fine-tune AI models — including whether training data must be retained for model reproducibility, bias auditing, or regulatory examination, and how deletion interacts with models already trained on that data.

Ephemeral Messaging Compliance. Covers retention obligations for Slack, Teams, Signal, and other messaging platforms where auto-delete features may conflict with legal-hold and regulatory-retention requirements, establishing clear policies for when ephemeral messaging is and is not permitted.

Cross-Border Data-Localization Conflicts. Addresses scenarios where retention or destruction obligations in one jurisdiction conflict with data-localization or preservation requirements in another, establishing a decision framework for resolving conflicting legal obligations.
