What This Form Does
This Employee Exit Certification is a comprehensive offboarding document that departing employees sign to confirm they have returned all company property, surrendered all access credentials, and understand their continuing obligations after separation. It serves as both a compliance checklist and a legally binding reaffirmation of the employee’s surviving contractual duties.
The certification covers physical property return, digital access revocation, confidential-information obligations, IP assignment confirmation, non-solicitation and non-competition reminders, equity-plan status, final-pay acknowledgment, benefits continuation information, and the employee’s contact information for post-separation communications.
Why Startups Need This
The departure of an employee — especially an engineer, salesperson, or executive — is one of the highest-risk moments for trade-secret theft and competitive harm. Studies consistently show that the vast majority of trade-secret misappropriation occurs in the two weeks before and after an employee leaves. A formal exit certification creates a documented moment where the employee affirms they have not retained confidential information and understands the consequences of misappropriation.
The certification also protects the company in litigation. If a former employee later misappropriates trade secrets or violates restrictive covenants, the signed exit certification establishes that they were aware of their obligations — eliminating the “I didn’t know” defense and strengthening claims for willful misappropriation (which can trigger enhanced damages under the Defend Trade Secrets Act and state trade-secret statutes).
Key Provisions
Property Return Checklist. Itemized confirmation that the employee has returned all physical property (laptop, phone, badge, keys, documents, prototypes) and all digital assets (files, repositories, cloud-storage contents). Includes a certification that the employee has not retained copies in any format.
Access Revocation Confirmation. Confirms that all access credentials have been surrendered or revoked — email, Slack, GitHub, cloud platforms, VPN, internal tools, customer-facing systems, and third-party services provisioned through the company. The employee certifies they have not created personal backups of access credentials.
Confidentiality Reaffirmation. Reminds the employee of their continuing confidentiality obligations under their CIIAA or NDA, identifies specific categories of confidential information they had access to, and confirms their understanding that these obligations survive separation indefinitely.
IP Assignment Confirmation. Reaffirms that all work product, inventions, and intellectual property created during employment are assigned to the company. Includes a final invention-disclosure requirement — the employee must list any inventions not previously disclosed.
Restrictive Covenant Reminder. Summarizes any non-solicitation, non-competition, or non-disparagement obligations, including their duration and scope. Does not create new restrictions — it references existing agreements — but ensures the employee cannot claim ignorance.
Final Compensation & Equity. Confirms the employee’s final pay date, accrued-but-unused PTO payout (where required by state law), equity-plan status (vested shares, option exercise windows, forfeiture of unvested awards), and COBRA eligibility and enrollment deadlines.
Cooperation Obligation. Establishes a reasonable post-separation cooperation obligation for transition of responsibilities, ongoing litigation or regulatory matters, and knowledge transfer — with provisions for compensating the former employee for substantial cooperation time.
2025–2026 Emerging Provisions
Digital-Asset & AI-Model Access Revocation. Addresses the return and revocation of access to AI models, training datasets, model weights, API keys, and proprietary algorithms — increasingly critical as AI-related trade secrets become a company’s most valuable assets.
Remote-Employee Equipment Recovery. Provides logistics for recovering company equipment from remote employees, including prepaid shipping, insurance requirements, deadlines, and consequences for non-return — reflecting the reality that most startups now have distributed teams.
Personal-Device Forensic Wipe. Addresses the increasingly common BYOD situation where company data resides on personal devices, establishing the employee’s obligation to permit targeted deletion of company data (not personal data) from personal devices used for work.
Social Media & Professional Profile. Addresses the employee’s obligation to update LinkedIn and other professional profiles to reflect their departure, remove company-affiliation claims, and not use the company’s trademarks or branding in personal marketing.
How to Use This Template
Download the .docx file and complete all bracketed fields. Present the certification to the departing employee during their exit interview or on their last day. Walk through each section and ensure the employee understands their continuing obligations. Both the employee and a company representative should sign, and the company should retain the original.
This certification should be used alongside — not instead of — any separation agreement or release. If the company is providing severance in exchange for a release of claims, the exit certification and the separation agreement serve different purposes and should be separate documents. The exit certification can be required regardless of whether severance is offered.
