Stock Pledge Agreement
A pledge of private-company equity securing identified obligations, with certificated and uncertificated interest modules, issuer acknowledgments, control and transfer mechanics, voting and distributions before default, remedies, securities-law gates, and release.
Drafting standard applied
Module control. Use only after confirming issuer entity type, governing documents, transfer restrictions, securities-law status, Article 8 election, certificated or uncertificated form, adverse claims, marital or trust interests, tax consequences, and required issuer or investor consents. Do not treat an LLC interest as a security under Article 8 without deliberate analysis and, where applicable, an election.
Operative form with optional analysis
Opening: This Stock Pledge Agreement (this “Agreement”) is entered into as of [DATE] by [PLEDGOR LEGAL NAME] (“Pledgor”) and [SECURED PARTY LEGAL NAME] (“Secured Party”) with respect to equity interests in [ISSUER LEGAL NAME] (“Issuer”).
1Pledge
Pledgor grants Secured Party a continuing security interest in the identified Pledged Equity and related Collateral to secure the defined Obligations. The pledge covers only listed shares, units, certificates, security entitlements, distributions, rights, and proceeds and after-acquired interests expressly included. It does not transfer ownership or voting before the contractual trigger.
Drafting analysis
- Instruction
- Identify each issuer, class, quantity, certificate, and percentage.
- Risk controlled
- A generic equity description may not match the actual ownership record.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
2Secured Obligations
“Secured Obligations” means the debt, guaranty, reimbursement, interest, fees, enforcement costs, amendments, and reinstated amounts expressly identified in [CREDIT DOCUMENTS / SCHEDULE 1], subject to the stated cap and future-advance limits. Secured Obligations exclude unrelated obligations. “Discharge” occurs only upon the completed discharge conditions in Schedule 1.
Drafting analysis
- Instruction
- Use the same defined obligations across collateral documents.
- Risk controlled
- Cross-document differences create partial attachment or unintended cross-collateralization.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
3Equity Status and Article 8
Schedule 1 states whether each Pledged Interest is a security, general intangible, certificated security, uncertificated security, or security entitlement under enacted law. For an LLC or partnership interest, Schedule 1 identifies any Article 8 opt-in and governing-document amendment. No characterization in this Agreement overrides a valid issuer election, governing record, or applicable law.
Drafting analysis
- Instruction
- Obtain issuer counsel confirmation of classification.
- Risk controlled
- Using the wrong collateral category can defeat perfection and priority.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
4Delivery and Control
Pledgor delivers original certificates with separate undated transfer powers if lawful, or causes issuer registration, control agreement, or securities-account control as the selected perfection method requires. Secured Party safeguards delivered instruments and records custody. Blank powers are used only after default and lawful enforcement, not to alter ownership records prematurely.
Drafting analysis
- Instruction
- Create a certificate and control receipt.
- Risk controlled
- Lost certificates or incomplete endorsements compromise control and enforcement.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
5Issuer Acknowledgment
Issuer acknowledges notice, equity description, transfer restrictions, Article 8 status, record owner, and agreed instructions; agrees not to issue replacement certificates or register prohibited transfers; and states whether it will follow Secured Party instructions after the trigger. The acknowledgment does not make Issuer a guarantor or waive charter, tax, regulatory, or fiduciary duties.
Drafting analysis
- Instruction
- Use an issuer joinder tailored to entity type.
- Risk controlled
- Without issuer cooperation, an uncertificated pledge may be difficult to perfect or enforce.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
6Representations
Pledgor represents authority, ownership, stated percentage, valid issuance and payment status to knowledge after records review, no undisclosed liens or adverse claims, no conflicting transfer, accurate schedules, and disclosed community-property, trust, option, proxy, voting, and transfer restrictions. Securities-law and tax representations require specialist diligence and appropriate qualification.
Drafting analysis
- Instruction
- Review the cap table and governing documents, not only a certificate.
- Risk controlled
- Beneficial, marital, or trust interests can defeat a clean pledge.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
7Covenants
Pledgor shall preserve the Pledged Equity, not sell, transfer, further pledge, redeem, cancel, exchange, or amend rights adversely without consent, maintain issuer records, deliver new certificates and distributions, and notify changes. Permitted transfers, restructurings, equity financings, splits, conversions, and tax elections must be coordinated with replacement collateral and consents.
Drafting analysis
- Instruction
- Avoid blocking ordinary financings the lender has approved.
- Risk controlled
- A recapitalization can strand the lien on an obsolete class.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
8Voting Before Default
Until an enforceable default notice or other selected trigger, Pledgor retains voting, consent, information, and management rights and shall not exercise them to impair collateral or violate finance covenants. Secured Party has no management duty, fiduciary status, or obligation to vote. Reserved major actions may require consent under the credit documents.
Drafting analysis
- Instruction
- Define trigger and reserved matters objectively.
- Risk controlled
- Premature lender control can create governance and lender-liability concerns.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
9Distributions Before Default
Pledgor may receive ordinary cash distributions permitted by finance documents and law. Stock dividends, new securities, extraordinary distributions, liquidation proceeds, and property distributions become Collateral and must be delivered or controlled. Tax distributions require a clear formula and no-default rule. Issuer withholding and solvency restrictions remain effective.
Drafting analysis
- Instruction
- Coordinate permitted distributions with tax and subordination documents.
- Risk controlled
- Allowing all distributions can drain collateral value.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
10Default Control
After an uncured Event of Default and required notice, Secured Party may exercise voting and distribution rights to the extent lawful and reasonably related to protection or enforcement. Pledgor executes proxies or directions that become effective only at the trigger. Secured Party shall account for distributions and is not required to assume management obligations beyond law.
Drafting analysis
- Instruction
- Avoid an irrevocable immediate proxy where not needed.
- Risk controlled
- Control rights can trigger regulatory, tax, or fiduciary consequences.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
11Additional and Substitute Equity
Splits, dividends, conversions, mergers, exchanges, recapitalizations, and replacement interests attributable to Pledged Equity become Collateral within the intended scope. Pledgor and Issuer shall update schedules, certificates, registers, control agreements, and filings. Cash sale proceeds follow the credit documents and any approved release.
Drafting analysis
- Instruction
- Build a closing checklist for every capitalization event.
- Risk controlled
- The pledge can lose practical value after an equity reclassification.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
12Transfer Restrictions and Consents
Schedule 3 identifies each right of first refusal, co-sale, drag-along, buy-sell, repurchase right, board or lender approval, franchise or professional-entity requirement, regulatory consent, and other transfer restriction affecting the Pledged Interests. Pledgor shall obtain the listed consents and Secured Party shall conduct enforcement subject to applicable restrictions. Nothing represents that Article 9 overrides every entity, securities, or regulatory restriction.
Drafting analysis
- Instruction
- Have issuer counsel map enforceability at foreclosure.
- Risk controlled
- A perfected lien may still be hard to transfer to a buyer.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
13Securities-Law Compliance
Any disposition or acceptance of collateral must comply with applicable securities laws, including transfer restrictions, exemptions, information requirements, purchaser qualifications, and legends. Secured Party may use a private sale only if lawful and commercially reasonable and may require representations from purchasers. Pledgor acknowledges that a restricted sale may yield a lower price without waiving mandatory protections.
Drafting analysis
- Instruction
- Prepare an enforcement securities memo before default if risk is material.
- Risk controlled
- A foreclosure sale can itself be an unregistered securities transaction.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
14Remedies
After default, Secured Party may exercise Article 8, Article 9, contractual, and lawful equitable remedies, including collection, control, registration, voting, and commercially reasonable disposition, subject to required notice and transfer restrictions. Self-help may not breach the peace, access systems unlawfully, or force Issuer to violate law or governing documents.
Drafting analysis
- Instruction
- Sequence issuer directions, notices, valuation, and sale process.
- Risk controlled
- A private-company interest lacks an obvious market and price.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
15Valuation and Commercial Reasonableness
Enforcement planning should consider current financials, capitalization, preferences, transfer restrictions, minority discounts, pending financings, tax attributes, and reasonable marketing. No agreed value predetermines disposition price unless law permits. Secured Party documents process, bids, conflicts, purchaser relationships, and reasons for sale method.
Drafting analysis
- Instruction
- Use an independent valuation when lender or affiliate may buy.
- Risk controlled
- Insider acquisition at a low price invites challenge.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
16Power of Attorney
Any power of attorney is limited, coupled with an interest, and exercisable only after the stated default trigger to complete transfers, endorsements, registrations, notices, and other lawful enforcement steps. It does not authorize unrelated management, false filings, or alteration of economic rights before enforcement. Use must be documented.
Drafting analysis
- Instruction
- Keep issuer instructions and power language consistent.
- Risk controlled
- An overbroad power may be treated as present control.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
17Release
Upon discharge of Obligations or approved partial release, Secured Party returns certificates and powers, terminates control and financing statements, withdraws issuer instructions, and provides release evidence. Pledgor confirms delivery instructions and indemnifies only for misdirection caused by inaccurate instructions, not lender negligence. Replacement certificates require a documented lost-instrument process.
Drafting analysis
- Instruction
- Include return and issuer notice in the payoff checklist.
- Risk controlled
- A lien release without returning control leaves the equity unusable.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
18General Terms
Notices must be delivered by [METHODS] to the completed addresses and are effective on [OBJECTIVE RECEIPT RULE]. Secured Party may assign this Agreement only with the related Secured Obligations; Pledgor may not assign it without Secured Party’s prior written consent. Article 8 and Article 9 choice-of-law rules govern classification, perfection, and priority; [STATE] governs other contractual issues, subject to the Issuer’s governing law and mandatory securities, entity, and regulatory law. A waiver must be written and applies only to the stated instance. Invalid terms are narrowed only to the minimum enforceable scope. Electronic signatures and counterparts are effective for this Agreement, but any certificate, instrument, stock power, control acknowledgment, or transfer document must satisfy its separate delivery and originality requirements. This Agreement, its schedules, and the identified credit documents are the entire agreement on the pledge and may be amended only in a writing signed by Pledgor and Secured Party, with Issuer consent where its obligations are affected. Secured Party shall use reasonable care in custody of tangible collateral. Reinstatement, accounting, release, dispute, and other terms intended by their nature to continue survive until final Discharge.
Drafting analysis
- Instruction
- Coordinate multiple relevant jurisdictions.
- Risk controlled
- A single generic governing-law clause may not control perfection.
- Three-pass review
- Necessity: confirm distinct work. Counterparty: test trigger, scope, cap, cure, and carve-outs. Proofreader: reconcile defined terms, cross-references, exhibits, and related documents.
