What This Form Does

This agreement establishes the standard terms under which your startup sells products to business customers. It covers the entire commercial lifecycle: how orders are placed and accepted, pricing and payment terms, shipping and delivery risk, inspection and acceptance windows, warranty scope and disclaimers, returns and credits, indemnification, limitation of liability, and intellectual property rights in sold products.

The template is designed as a seller-side document that can be incorporated by reference into purchase orders, posted on your website, or attached to individual sales contracts. It includes a battle-of-the-forms provision addressing the common scenario where buyer and seller each submit their own terms.

Why Startups Need This

Without standard sale terms, every product shipment operates under the UCC default rules — which heavily favor buyers on issues like acceptance, rejection, revocation, and consequential damages. Your customer’s purchase order almost certainly includes terms written to protect the buyer. If you ship without your own terms in place, you may be agreeing to unlimited liability, broad indemnification, and return rights that destroy your margins.

A well-drafted set of sale terms also streamlines your operations. Instead of negotiating bespoke contracts for every customer, you establish a baseline that covers the standard case and negotiate only the exceptions.
