ACQUISITION ESCROW AGREEMENT

This Acquisition Escrow Agreement (this “Escrow Agreement”) is entered into as of [DATE] by and among [BUYER] (“Buyer”), [SELLER OR SELLER REPRESENTATIVE], solely in the capacity stated in the Acquisition Agreement (“Seller Representative”), and [ESCROW AGENT] (“Escrow Agent”).

Recitals

A. Buyer, [Seller], Seller Representative, and the other parties identified there entered into [NAME OF PURCHASE OR MERGER AGREEMENT], dated [DATE] (as amended, the “Acquisition Agreement”), under which Buyer is acquiring [ASSETS / SHARES / LLC INTERESTS / TARGET].

B. The Acquisition Agreement requires specified portions of the consideration to be held to secure purchase-price adjustment obligations, indemnification obligations, and any special matter described below.

C. Escrow Agent is willing to hold and disburse the Escrow Funds solely under this Escrow Agreement.

The parties agree as follows.

1. Definitions; Priority

Capitalized terms not defined here have the meanings in the Acquisition Agreement. The following definitions apply:

“Adjustment Escrow Account” means the segregated account holding $[AMOUNT] plus its allocated earnings.

“Business Day” means a day other than Saturday, Sunday, or a day on which commercial banks in [CITY] are authorized or required to close.

“Claim Notice” means a written notice delivered under Section 4 that identifies the claimant, the applicable Escrow Account, the basis of the claim with reasonable specificity, the amount claimed or a good-faith estimate, and the payment instructions if the claim is resolved.

“Escrow Funds” means the funds deposited into all Escrow Accounts, together with earnings and less permitted distributions, losses, fees, and expenses.

“Final Determination” means: (a) joint written instructions signed by Buyer and Seller Representative; (b) a final, nonappealable judgment or order from a court of competent jurisdiction, evidenced as Section 5 requires; or (c) a final determination by an accounting expert, arbitrator, or other decision maker expressly authorized under the Acquisition Agreement, accompanied by a certificate identifying the amount payable.

“Indemnity Escrow Account” means the segregated account holding $[AMOUNT] plus its allocated earnings.

“Joint Written Instructions” means written instructions executed by authorized signatories of Buyer and Seller Representative and delivered in compliance with the security procedure in Schedule A.

“Release Date” means [DATE AND TIME, WITH TIME ZONE], subject to pending claims and the Acquisition Agreement.

“Special Escrow Account” means each account identified in Schedule B.

As among Buyer and Seller Representative, the Acquisition Agreement controls their substantive rights and obligations. As to Escrow Agent’s duties, protections, fees, reliance rights, and disbursement obligations, this Escrow Agreement controls. Escrow Agent has no duty to interpret or enforce the Acquisition Agreement except for provisions expressly reproduced or incorporated in Schedule B.

2. Appointment; Deposit; Accounts

2.1 Appointment and acceptance

Buyer and Seller Representative appoint Escrow Agent as escrow agent, and Escrow Agent accepts the appointment, subject only to this Escrow Agreement. Escrow Agent acts as an independent stakeholder and not as fiduciary, trustee, agent, or adviser of any other party, except to the limited extent nonwaivable law provides otherwise.

2.2 Deposit

At Closing, Buyer will deposit by verified same-day funds: $[AMOUNT] to the Adjustment Escrow Account; $[AMOUNT] to the Indemnity Escrow Account; and the amounts in Schedule B to each Special Escrow Account. Escrow Agent will confirm receipt to Buyer and Seller Representative. Escrow Agent has no duty to verify the purchase-price calculation or source of funds.

2.3 Separate accounts and records

Escrow Agent will maintain each Escrow Account separately in its books and records. A claim against one account does not encumber another except as the Acquisition Agreement and Schedule B expressly provide. Escrow Agent will send monthly statements to the authorized contacts and a statement after each material disbursement.

2.4 No additional deposits or withdrawals

No person may add to or withdraw from an Escrow Account except under this Escrow Agreement or Joint Written Instructions. If the escrow is insufficient, Escrow Agent has no duty to collect additional funds or enforce another party’s payment obligation.

3. Investment; Earnings; Tax Reporting

3.1 Investment election

Escrow Agent will hold the Escrow Funds in [an interest-bearing deposit account / the permitted investments selected in Schedule C]. Escrow Agent may rely on investment instructions from [Buyer and Seller Representative jointly]. If no effective instruction exists, Escrow Agent may hold funds uninvested or in its standard demand-deposit product. Escrow Agent does not guarantee yield, liquidity, principal, or deposit-insurance coverage.

3.2 Investment losses and liquidity

Investment gains and losses are allocated to the applicable Escrow Account. The parties authorize liquidation as needed for disbursement and bear resulting market loss, breakage, or delay. No investment may mature after the applicable expected release date unless it can be liquidated on one Business Day’s notice without material penalty.

3.3 Tax ownership and forms

For federal, state, and local Tax purposes, the Escrow Funds and earnings will be treated as owned by [SELLERS PRO RATA / BUYER / AS PROVIDED IN SCHEDULE C], unless applicable law requires otherwise. Each tax owner will timely provide a properly completed IRS Form W-9 or applicable Form W-8 and other requested documentation. Escrow Agent may withhold as required by law and will report earnings consistently with the supplied information. The parties, not Escrow Agent, are responsible for determining the correct Tax treatment.

4. Claims

4.1 Delivery of Claim Notice

Buyer may assert a claim by delivering a Claim Notice to Escrow Agent and Seller Representative before the applicable claims deadline. A copy to Escrow Agent is effective only when received at the designated notice address. Escrow Agent need not evaluate legal sufficiency, but may reject a notice that omits the account, amount, or authentication required by Schedule A.

4.2 Objection period

Seller Representative may object by delivering an “Objection Notice” to Buyer and Escrow Agent within [20] Business Days after receipt of the Claim Notice. The notice must identify disputed amounts with reasonable specificity. If no timely Objection Notice is received, Escrow Agent will pay the undisputed claimed amount after [two] Business Days’ notice to the parties, without further consent.

4.3 Effect of objection

On a timely objection, Escrow Agent will continue to hold the disputed amount and may release any undisputed portion. Buyer and Seller Representative will resolve the dispute under the Acquisition Agreement. Escrow Agent has no duty to monitor proceedings, determine whether a claim was abandoned, or calculate interest on a claim unless Joint Written Instructions provide the calculation.

4.4 Claim amount and reserves

A contingent or unliquidated claim may state a good-faith estimate. At a release date, the amount retained for a pending claim equals the amount in the Claim Notice, capped at the funds then available in the applicable account, unless the parties jointly instruct otherwise. The claimant will promptly reduce or release an excess reserve when information reasonably supports doing so.

4.5 Founder and seller notice protections

Seller Representative will maintain a current distribution list for participating sellers and will provide them the claim information required by the representative appointment, subject to privilege and confidentiality. Escrow Agent has no duty to contact an individual founder or seller. No individual seller may direct Escrow Agent unless the Seller Representative appointment has terminated and replacement authority is established under Section 10.

5. Disputed Claims; Evidence of Determination

Escrow Agent will disburse a disputed amount only on Joint Written Instructions or a Final Determination. A party relying on a court order must deliver a certified or file-stamped copy and a certificate from counsel stating that it is final, nonappealable, issued by a court with jurisdiction, and authorizes a stated payment. Escrow Agent may obtain its own counsel’s advice and wait [five] Business Days after notice before disbursement. If competing instructions or proceedings create reasonable uncertainty, Escrow Agent may continue holding the funds or commence interpleader.

6. Scheduled Releases

6.1 Adjustment Escrow

Within [two] Business Days after receiving Joint Written Instructions or the final adjustment certificate contemplated by the Acquisition Agreement, Escrow Agent will pay the amount directed from the Adjustment Escrow Account. After that payment and retention of any expressly disputed amount, Escrow Agent will release the remainder to [Seller / Seller Representative for the sellers] according to Schedule D.

6.2 Indemnity Escrow

On the Release Date, Escrow Agent will release the Indemnity Escrow Account balance to the sellers according to Schedule D, less: the aggregate amount of pending Claim Notices; required withholding; and unpaid Escrow Agent fees chargeable to that account. [If the Acquisition Agreement uses staged releases, insert the exact percentages, dates, and reserve mechanics in Schedule B.]

6.3 Special Escrows

Each Special Escrow Account will be released only under the conditions in Schedule B. Schedule B must state the triggering evidence, outside date, pending-claim treatment, whether partial release is permitted, and who receives residual funds. A condition described only by reference to a disputed commercial standard must include a decision-maker and procedure.

6.4 Insufficient funds; no priority inference

Escrow Agent will not disburse more than the available balance. The sequence of accounts in this Escrow Agreement does not determine priority among remedies under the Acquisition Agreement. The parties must state any mandatory recovery waterfall in Schedule B.

6.5 Final statement and termination

After final disbursement and payment of fees, Escrow Agent will provide a closing statement and this Escrow Agreement terminates, except provisions concerning compensation, Tax reporting, indemnification, liability limits, confidentiality, records, disputes, and other terms that by nature survive.

7. Payment and Security Procedures

7.1 Authorized representatives

Each party identifies its authorized representatives, email addresses, telephone numbers, and specimen signatures in Schedule A. A change is effective only after Escrow Agent completes its authentication process.

7.2 Wire verification

Escrow Agent may require original or platform-authenticated instructions and callback verification to a telephone number previously established independently. It may refuse or delay a transfer when instructions change, appear inconsistent, fail authentication, or create a sanctions, fraud, or cybersecurity concern. Email alone is not sufficient to change payment instructions.

7.3 Reliance

Escrow Agent may rely on a notice or instruction it reasonably believes genuine and issued by an authorized representative. It is not responsible for a loss caused by forged or compromised instructions unless resulting from Escrow Agent’s gross negligence, willful misconduct, or fraud as finally determined.

7.4 Timing

If a valid disbursement direction arrives after Escrow Agent’s cutoff time, payment may occur on the next Business Day. Escrow Agent is not liable for banking-system, governmental, force-majeure, or market closure delay beyond its reasonable control if it uses commercially reasonable efforts to resume performance.

8. Escrow Agent’s Duties and Protections

8.1 Limited duties

Escrow Agent’s duties are ministerial and limited to this Escrow Agreement. It need not investigate facts, determine compliance with the Acquisition Agreement, calculate a Purchase Price, prosecute or defend a claim, monitor deadlines for another party, or risk its funds.

8.2 Standard of liability

Escrow Agent is not liable except for direct losses caused by its gross negligence, willful misconduct, or fraud as finally determined by a court. It is not liable for consequential, special, punitive, or lost-profit damages; investment performance; legal compliance of the transaction; or an act taken in good-faith reliance on counsel, a Final Determination, or authenticated instructions.

8.3 Counsel and experts

Escrow Agent may consult counsel and experts of its choice and is protected for an action taken in good-faith reliance on their advice. If a dispute exists, Escrow Agent may retain separate counsel and charge reasonable fees as provided in Section 9.

8.4 Interpleader and suspension

If Escrow Agent receives conflicting demands, is uncertain about its duties, or becomes a party to a dispute, it may suspend action and deposit the affected funds with a court through interpleader. On deposit and payment of amounts due, Escrow Agent is discharged as to those funds. Buyer and Seller Representative will cooperate in substituting the court or successor as custodian.

8.5 Compliance

Escrow Agent may request KYC, beneficial-ownership, sanctions, tax, source-of-funds, and other compliance information and may delay acceptance or disbursement until reasonably satisfied. No party will instruct Escrow Agent to violate law or a binding governmental directive.

9. Fees; Expenses; Indemnification of Escrow Agent

The parties will pay Escrow Agent the fees in Schedule E, allocated [equally between Buyer and sellers / as stated]. Extraordinary reasonable expenses relating to a dispute are borne by the party whose position is not substantially sustained, as jointly agreed or finally determined; until then, Buyer and the Indemnity Escrow Account each bear [50%].

Buyer and the sellers, severally and not jointly, will indemnify Escrow Agent for third-party claims and reasonable costs arising from its service, except to the extent caused by Escrow Agent’s gross negligence, willful misconduct, or fraud. No individual seller’s obligation exceeds that seller’s pro rata share of the Escrow Funds actually distributed to that seller, except for that seller’s own fraud. Escrow Agent may retain a reasonable reserve for unpaid fees after notice, but may not offset a genuinely disputed fee without Joint Written Instructions or a Final Determination.

10. Resignation; Removal; Successor

Escrow Agent may resign on [30] days’ written notice. Buyer and Seller Representative may jointly remove it. They will appoint a qualified successor within [20] days. If none is appointed, Escrow Agent may petition a court to appoint one and may continue holding funds or deposit them with the court. Appointment is effective when the successor accepts and receives the funds and records. The departing agent will transfer promptly, less undisputed fees, and remains protected for acts during its tenure.

If Seller Representative resigns, dies, becomes incapacitated, or is removed, replacement occurs only under the Acquisition Agreement and seller appointment instrument. Escrow Agent may rely on a certificate from outgoing or successor counsel and need not determine the validity of a contested replacement.

11. Confidentiality; Data; Records

Each party will protect nonpublic escrow statements, payment instructions, tax information, personal data, and claim materials and use them only for the transaction, administration, compliance, or enforcement. Disclosure is permitted to authorized sellers, advisers, insurers, financing sources, auditors, and authorities subject to appropriate duties or law. Escrow Agent may process and transfer data through service providers and locations described in its privacy notice, subject to applicable law.

Escrow Agent will retain records for the period required by law and its policy, then may destroy them securely. The parties will not send source code, health information, unredacted identity documents, privileged communications, or unnecessary personal data with a Claim Notice.

12. Notices

Notices must be in writing and sent to Schedule A. Notices to Escrow Agent are effective only on actual receipt during business hours and completion of required authentication. Notices to Buyer or Seller Representative are effective on confirmed email transmission before [5:00 p.m.] local time, personal delivery, or courier delivery. A legal-process notice must comply with procedural law. A party will promptly update its contact information.

13. Miscellaneous

This Escrow Agreement and the provisions of the Acquisition Agreement expressly applicable to Escrow Agent are the entire agreement on the escrow. An amendment binding Escrow Agent requires Escrow Agent’s written consent. Buyer and Seller Representative may not assign their rights except with an assignment of the Acquisition Agreement permitted there; Escrow Agent may assign to a successor under Section 10. No other Person is a beneficiary except released and indemnified Escrow Agent parties.

If a provision is unenforceable, it will be narrowed or severed to the minimum extent necessary. Waiver requires a signed writing and does not constitute continuing waiver. This Escrow Agreement is governed by [STATE] law. The parties submit to exclusive jurisdiction in [COUNTY, STATE] and knowingly waive jury trial to the maximum extent lawful. Counterparts and electronic signatures are effective. Escrow Agent may rely on an electronically signed counterpart unless its onboarding requirements state otherwise.

Website Posting README — Not Part of the Agreement

Purpose. This agreement appoints a neutral escrow agent to hold acquisition consideration for price adjustments, indemnity claims, or identified special matters and provides objective claim, dispute, and release instructions.

Use when. Use when a signed acquisition agreement requires a third-party escrow and the parties need a coordinated stakeholder document with secure payment controls.

Do not use when. Do not use without conforming every defined term, deadline, recovery limit, claim procedure, and release waterfall to the definitive acquisition agreement and the escrow agent’s approved form. Do not place live bank credentials in a public template.

Founder-critical decisions. Confirm which founder or representative receives claim notices; how seller communications and authority work; when undisputed funds release; whether contingent claims can tie up the full escrow; whether setoff exists; who owns earnings and pays fees; and whether a founder has exposure beyond amounts held or distributed.

Customization checklist. Complete onboarding, KYC, Tax forms, account and release schedules, wire authentication, authorized signers, fees, investment elections, governing law, pending-claim reserves, and successor mechanics. Reconcile the escrow with the purchase agreement line by line and remove the control sheet, banner, alternatives, and this README before execution.
